Ms. Lynch joins FSB Legal Counsel from the corporate department of Kilpatrick Stockton, where she concentrated her practice on commercial transactions.  Ms. Lynch has extensive experience representing public and privately held clients, including franchisors and health care related entities, with regard to formation and structuring and preparation and negotiation of all types of commercial agreements, including  manufacturing, licensing, distribution, consulting and sales agreements, merger, joint venture and strategic partnership documents and managed care agreements.   In addition, Ms. Lynch is well versed in the preparation of franchise disclosure documents and domestic franchise agreements, preparation and negotiation of international franchising agreements, compliance with federal and state franchise and business opportunity laws, preparation of registration and exemption documents and responding to state franchise and business opportunities regulatory comments.  Other areas her practice has extended to include business and technology outsourcing, debt and equity financings, credit facilities, strategic investments, private placements, technology licensing and affiliations, leasing and marketing arrangements, indemnification and escrow agreements and equity compensation strategies.
