Ms. Sloan concentrates on securities, finance and general corporate law. She offers more than 19 years of experience as an in-house securities, finance and corporate governance counsel for a publicly traded Fortune 200 company. In that position she was responsible for SEC and NYSE reporting and compliance, as well as financing transactions involving issuance of equity, unsecured debt, and leveraged leasing of heavy equipment using both public and private debt. She has a wealth of experience in preparing and reviewing reports required under the Securities Act of 1933 and Securities Exchange Act of 1934 including registration statements, Forms 10-K, 10-Q, 11-K, 8-K and proxy statements. She also has extensive experience with Section 16 reporting and compliance issues, and executive compensation disclosure issues. While in-house, she was responsible for developing and implementing an insider trading compliance program. Ms. Sloan also has extensive experience supporting corporate secretary functions, and has served as secretary and counsel for a variety of corporate and charitable entities.
Ms. Sloan has extensive experience drafting and interpreting a wide range of contracts and legal documents including ISDA, confidentiality, bank credit, underwriting, bank services, maintenance services and standardized customer agreements, as well as entity formation documents, indentures, promissory notes, leases and equipment loan agreements.
Ms. Sloan is a member of the American Bar Association, the State Bar of Georgia and the Kentucky Bar Association. She is also licensed as a Certified Public Accountant in the Commonwealth of Kentucky.
