Biography: Ms. Pan is a corporate and insurance lawyer based in the New York area, with over 20 years experience servicing major U.S. and international insurance companies, investment banks, insurance brokers and other participants in the insurance industry. Ms. Pan concentrates her practice in life settlements and premium finance, captive insurers, capital markets transactions including insurance-linked notes, structured insurance and reinsurance-related products and securitizations, insurance and reinsurance transactions, organization and reorganization of insurance companies, mergers and acquisitions and other corporate transactions. She has advised domestic and foreign, onshore and offshore insurance companies, bulge bracket investment banks, their advisors and servicers and has experience in the life insurance and annuities, property and casualty and financial guaranty sectors. In addition, Ms. Pan's experience also includes Triple X financings, closed block securitizations, policy warehousing facilities, derivative products, transformer structures, regulatory issues including investments, licensing, agent issues, financial guarantee issues, risk-based capital issues, marketing and sales practices and rehabilitation and insolvency questions. Her representative transactions include: representation of Swiss Re Capital Markets, Goldman Sachs & Co., Scor, AXA, Morgan Stanley & Co., Merrill Lynch and others in catastrophe bond and sidecar transactions; representation of Prudential, St. Paul, CIGNA, AIG, ING, Aetna, Travelers, Royal Bank of Canada, Primerica and others in numerous significant mergers and acquisitions transactions; representation of Prudential and MONY in their closed block securitizations in connection with their demutualizations; representation of CIGNA in its reorganization of its asbestos liabilities and St. Paul in its spin-off of Platinum; representation of numerous insurance companies in the issuance of surplus notes and other private placement financings; and establishment of Goldman Sachs' proprietary life settlement operations and that of The Institutional Life Companies. Ms. Pan was previously a partner in the Capital Markets group of the New York office of Morrison & Foerster. Prior to that, she served as special counsel at Cadwalader, Wickersham & Taft, Skadden, Arps, Slate, Meagher & Flom and at Sullivan & Cromwell in their insurance practice groups. Ms. Pan serves as co-chair of the Insurance and Reinsurance Committee of the International Section of the New York State Bar Association. |
